FoilFile Terms of Use — Private Beta

1. Agreement to these Terms

These Terms of Use (the “Terms”) govern your access to and use of the FoilFile mobile application, websites, private share pages, and related services (collectively, the “Service”), operated by Christian Graham (“FoilFile,” “we,” “us,” or “our”).

By creating or using an account, accepting these Terms in the app, or otherwise using the Service, you agree to these Terms and acknowledge the FoilFile Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.


2. Eligibility and private-beta access

2.1 Age and United States use

The private beta is intended only for individuals who:

2.2 Invite-only beta

FoilFile is initially an invite-only beta. An invitation:

2.3 Beta risks

The Service is under active development. Features, data, interfaces, availability, and compatibility may change. Beta functionality may contain errors, lose noncritical cached data, or become temporarily unavailable. You should maintain your own records for any information you cannot afford to lose.


3. What FoilFile does

FoilFile is a collection-management and portfolio-estimation tool for individual baseball cards. Depending on the available features, the Service may allow you to:

FoilFile is not a marketplace, auction house, grading company, authentication service, insurer, custodian, broker, financial adviser, tax adviser, or appraisal service.


4. Your account

4.1 Authentication

The Service may support Sign in with Apple and passwordless email magic links. You are responsible for maintaining control of your Apple ID, email account, device, and active sessions.

5. Your collection data and card images

5.1 Your content

“User Content” includes card photographs, collection records, confirmed identifications, corrections, serial numbers, grading information, purchase and sale details, acquisition events, notes, display names, support submissions, and other information you provide through the Service.

As between you and FoilFile, you retain the rights you have in your User Content. Owning a physical card does not necessarily mean you own all intellectual-property rights in the artwork, photography, logos, designs, or other content printed on it.

5.2 Your responsibilities

You represent and warrant that:

Do not use notes or image fields to store passwords, payment-card numbers, government identifiers, health information, or other sensitive information unrelated to the Service.

5.3 Operational license

You grant FoilFile a worldwide, nonexclusive, royalty-free license to host, store, reproduce, transmit, format, resize, crop, analyze, classify, transform, display to you, and otherwise use User Content as reasonably necessary to:

This license includes the right to use service providers and subprocessors that perform these functions for FoilFile. It does not permit us to make your private collection publicly searchable or sell your private card images as a standalone image library.

5.4 Service and model improvement

Important: You authorize FoilFile to use card images you upload, the identifications proposed for those images, your corrections, and your confirmed labels to test, evaluate, improve, and develop FoilFile’s card-identification, matching, ranking, quality-control, pricing, and related systems, including machine-learning models.

We will not intentionally include your email address, account name, private notes, purchase cost, storage location, or unrelated personal information in a model-training dataset.

When you delete your account, we will delete attributable source images and non-de-identified training records, subject to the Privacy Policy. Genuinely de-identified derived data and model weights already produced from permitted data may remain because they cannot reasonably be traced back to your account.

5.5 Third-party model and provider processing

To provide card identification, catalog matching, or pricing, FoilFile may transmit card images and related query information to CardSight or another disclosed provider. Those providers may process submitted data under their own terms and privacy policies, including, where their then-current terms permit, using submissions to operate, secure, train, or improve their systems.

Do not use the Service if you do not want uploaded card images processed by the disclosed identification provider or used for the improvement purposes described in these Terms and the Privacy Policy.


6. Identification and catalog information

6.1 Suggestions require confirmation

The Service may suggest a player, year, manufacturer, product, set, card number, parallel, print run, autograph, relic, variation, grade, or other characteristic. These suggestions may be generated by artificial intelligence, optical recognition, catalog matching, third-party providers, or user-confirmed examples.

You are responsible for reviewing the result. FoilFile requires confirmation before saving an identification, but confirmation does not make the result guaranteed or professionally authenticated.

6.2 No authentication or condition grading

FoilFile does not determine whether a card is genuine, altered, trimmed, counterfeit, restored, damaged, or likely to receive a particular professional grade. A “PSA 10 reference” is a market-data reference for a separately graded card, not a statement that your raw card would grade PSA 10.

6.3 Catalog coverage

The private beta is designed primarily for modern Topps and Bowman baseball cards and may not reliably support every card, year, manufacturer, format, printing plate, redemption, sketch card, variation, or unusual issue. Unsupported or uncertain cards may require manual entry or remain unidentified.


7. Pricing and portfolio estimates

7.1 Estimates only

Price and portfolio values are estimates based on available provider and marketplace data. They may be incomplete, stale, incorrect, or affected by:

A displayed value is not an offer to buy, a guaranteed sale price, an insured appraisal, or a representation of fair market value for tax, estate, lending, or legal purposes.

7.2 Raw and graded values

Unless a physical copy is designated with a supported grade, FoilFile uses a raw-card estimate for portfolio value. A PSA 10 value shown for a raw card is a separate reference and is not added to your portfolio total.

7.3 Seller-proceeds estimates

An estimated seller-proceeds feature may subtract user-configured marketplace fees, shipping, packaging, or other costs. It is a rough calculation, may omit taxes or special fees, and does not represent a binding marketplace quote.

7.4 Historical and stale data

Historical values may combine provider-supplied history with snapshots recorded by FoilFile. Low-volume cards may have old or sparse data. FoilFile may preserve the last known value with a freshness or confidence indicator rather than treating the card as worth zero.

7.5 No investment, tax, or transaction advice

FoilFile does not recommend buying, selling, grading, holding, insuring, or financing any card. You are solely responsible for collection, transaction, accounting, and tax decisions.


8. Acquisition events and cost information

You may record packs, boxes, or opening sessions as acquisition events. The Service may compare the amount you entered with the current estimated value of linked cards.

Unless you choose an allocation method, pack or box costs remain unallocated at the event level. Equal or manual allocation is a user-selected estimate and may be misleading when not every pulled card is scanned or retained.

FoilFile does not determine tax basis, inventory accounting, deductible expense, or realized gain. Preserve original receipts and consult an appropriate professional where necessary.


9. Sharing features

9.1 Native share images

You may generate an image for use through the iOS Share Sheet. Once you send, save, or publish that image outside FoilFile, the recipient or destination service controls further use. Deleting your FoilFile account cannot recall an image already copied elsewhere.

9.2 Unlisted snapshot links

You may create an unlisted, revocable, static snapshot link. An unlisted link is not the same as confidential access. Anyone who receives or forwards the link may view the snapshot until it is revoked or expires.

FoilFile will seek to exclude purchase costs, private notes, exact serial numbers, grading certificate numbers, and storage locations from public snapshots. You are responsible for reviewing the preview and deciding whether to share it.

9.3 No public profile promise

The private beta does not create a public username, searchable profile, or continuously updating public collection. We may add or change sharing functionality only after updating applicable product and privacy terms.


10. Provider-derived data and license restrictions

Certain identification, catalog, pricing, and completed-sale information is licensed from CardSight or other providers (“Provider Data”). Provider Data is supplied for your personal use within FoilFile and remains subject to provider rights and restrictions.

You may not, except where law expressly permits:

FoilFile may limit exports to user-entered and user-confirmed collection data and omit proprietary raw provider payloads, provider-only confidence details, or other restricted fields.

If a provider changes or terminates its service or license, FoilFile may remove, replace, restrict, or stop displaying affected data.


11. Acceptable use

You may use the Service only for lawful, personal collection-management purposes during the private beta.

You may not:

1. access or attempt to access another user’s account, images, exports, shares, or collection data without authorization;

2. probe, scan, or test security controls except through an expressly authorized security program;

3. interfere with the Service, introduce malware, or create unreasonable load;

4. automate scanning, catalog search, pricing, or account creation in a manner not provided by the Service;

5. evade quotas, invitations, rate limits, suspensions, or provider restrictions;

6. scrape or copy the Service, Provider Data, or private share pages;

7. use the Service to build or operate a competing database, scanner, pricing feed, or model from restricted data;

8. impersonate another person or misrepresent card ownership, identity, or affiliation;

9. upload unlawful, infringing, deceptive, or malicious content;

10. use public shares to expose another person’s private information;

11. use the Service for money laundering, fraud, market manipulation, deceptive listings, or counterfeit-card activity;

12. remove proprietary notices or misuse FoilFile’s branding; or

13. assist another person in doing any of the above.

Reasonable personal CSV export, backups, and sharing through the features we provide are permitted.


12. Feedback

You may provide ideas, suggestions, bug reports, or other feedback. You grant FoilFile a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you without permission.

Feedback does not include your private card images or collection data, which remain governed by Sections 5 and the Privacy Policy.


13. FoilFile intellectual property

The Service, software, interface, designs, text, logos, trademarks, compilation, and non-user content are owned by FoilFile or its licensors and protected by applicable law.

Subject to these Terms, FoilFile grants you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to use the private-beta app for your personal use.

Except for that license, no rights are granted by implication or otherwise.


14. Third-party names and non-affiliation

Topps, Bowman, Major League Baseball, MLB, PSA, Professional Sports Authenticator, SGC, Beckett/BGS, eBay, CardSight, Apple, and other names, marks, products, and services referenced in FoilFile belong to their respective owners.

FoilFile is an independent product and is not sponsored by, endorsed by, affiliated with, or approved by those entities unless a written agreement expressly states otherwise.

References are used only to identify cards, grading services, marketplaces, data sources, or interoperability relevant to the user’s collection.


15. Privacy

The FoilFile Privacy Policy explains how we collect, use, share, retain, and delete information. It is incorporated by reference for purposes of describing the Service’s data practices.

If these Terms and the Privacy Policy appear inconsistent regarding personal-information handling, the Privacy Policy controls for that handling unless applicable law requires otherwise.


16. Service availability and changes

We may modify, suspend, limit, or discontinue all or part of the Service, including:

We will seek to provide reasonable notice of material changes that adversely affect active beta users, but urgent security, provider, or legal circumstances may require immediate changes.

The Service may require internet access. Provider outages or quota limits may delay identification or pricing.


17. Suspension, termination, and account deletion

17.1 By you

You may stop using the Service at any time. You may request account deletion through:

You should export your collection first if you want a copy. Deletion is irreversible after processing begins.

17.2 What deletion does

Subject to the Privacy Policy, account deletion will remove or de-identify account and collection data, revoke active snapshot links, delete private images and exports, and delete the Supabase Auth account. If you used Sign in with Apple, FoilFile will attempt to revoke the associated Apple authorization token where technically available; if not, we may provide manual revocation instructions.

Genuinely de-identified aggregate data, embeddings not reasonably linkable to you, and model weights already produced under these Terms may remain.

17.3 By us

We may suspend or terminate your access for the reasons in Section 4.3 or if the private beta ends. Upon termination, provisions that by their nature should survive will survive, including restrictions, licenses for retained de-identified artifacts, intellectual-property terms, disclaimers, limitations, indemnity, and dispute provisions.


18. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, PROVIDER DATA, IDENTIFICATIONS, PRICES, ANALYTICS, EXPORTS, AND SHARES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

FoilFile AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT:

Some jurisdictions do not allow certain disclaimers, so portions may not apply to you.


19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FoilFile AND ITS OWNERS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, COLLECTION VALUE, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF FoilFile FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

These limitations apply regardless of the theory of liability and do not limit liability that cannot legally be limited.


20. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless FoilFile and its owners, affiliates, licensors, service providers, and representatives from claims, liabilities, damages, judgments, losses, costs, and reasonable attorneys’ fees arising from:

FoilFile will provide reasonable notice of an indemnified claim and may control its defense, subject to applicable law.


21. Governing law and disputes

These Terms are governed by the laws of [GOVERNING STATE], without regard to conflict-of-law rules.

Before filing a formal claim, you and FoilFile agree to attempt in good faith to resolve the dispute by sending a written notice describing the issue and requested relief to support@foilfile.com and allowing 30 days for a response.

Unless applicable law requires otherwise, any court proceeding must be brought in the state or federal courts located in [COUNTY], [GOVERNING STATE], and each party consents to their jurisdiction and venue.

Drafting note: The operator should obtain legal advice before adding a mandatory arbitration or class-action-waiver clause. None is included in this beta draft.


22. Apple App Store and TestFlight terms

If you obtained the application through Apple’s App Store or TestFlight:

1. these Terms are between you and FoilFile, not Apple;

2. FoilFile, not Apple, is responsible for the application and its content, subject to these Terms;

3. your license is limited to using the application on Apple-branded products you own or control as permitted by Apple’s applicable Usage Rules;

4. Apple has no obligation to provide maintenance or support for the application;

5. to the extent any warranty exists and the application fails to conform, you may notify Apple and Apple may refund the purchase price, if any, as required by applicable App Store terms; to the maximum extent permitted by law, Apple has no other warranty obligation;

6. FoilFile, not Apple, is responsible for addressing claims relating to the application, including product-liability, legal-compliance, and consumer-protection claims, subject to these Terms and applicable law;

7. FoilFile, not Apple, is responsible for investigating and resolving claims that the application infringes third-party intellectual-property rights;

8. you represent that you are not located in a country subject to a United States government embargo and are not listed on a United States government prohibited- or restricted-party list;

9. you must comply with applicable third-party terms when using the application; and

10. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it after your acceptance.

Nothing in this section expands Apple’s liability beyond Apple’s own applicable terms.


23. Changes to these Terms

We may update these Terms. If a change is material, we will provide notice through the Service, email, or another reasonable method and may require you to accept the updated Terms before continuing.

The version and effective date appear above. Your continued use after an effective update constitutes acceptance where permitted, but FoilFile will require explicit reacceptance for changes designated material in the implementation specification.
